Parties to This Agreement

VisaNauta Technologies ("Platform," "we," "us") — a SaaS technology marketplace registered in Ontario, Canada.

You ("RCIC," "Consultant," "Subscriber") — a licensed Regulated Canadian Immigration Consultant subscribing to Platform services.

By subscribing, you represent that you hold a current CICC license, have the authority to enter this Agreement, and agree to these Terms, the Privacy Policy (COMP-04), and all applicable CICC regulations. If entering on behalf of a firm, you represent that you have authority to bind that entity.

1.DEFINITIONS

In these Terms, the following defined terms apply:

"Account Data"

Data pertaining to the Subscriber necessary to identify them and administer their use of the Platform, including registration details and billing information.

"Administrator"

The Subscriber or designated user with authority to manage the subscription, designate Authorized Users, and administer account settings. For Enterprise plans, the Administrator may designate additional Administrators.

"Authorized User"

The RCIC license holder and, on Enterprise plans, any staff members added to the account by the Administrator (up to the seat limit of the subscription plan).

"CICC"

The College of Immigration and Citizenship Consultants, the regulatory body for immigration consultants in Canada.

"Confidential Information"

Platform pricing, subscription tiers, feature specifications, technical architecture, roadmap information, Usage Data, and any business terms shared with you, as further described in Section 14.

"Content"

Any information, documents, files, messages, client data, or materials you or your Authorized Users upload, post, or transmit through the Platform.

"Feedback"

Suggestions, ideas, enhancement requests, or recommendations regarding the Platform provided by you or your Authorized Users.

"Platform"

The VisaNauta website (visanauta.com and visanauta.ca) and all associated software, tools, features, and services operated by VisaNauta Technologies.

"Services"

The SaaS features and functionality provided through the Platform under your subscription, including consultant discovery, booking, secure messaging, document exchange, compliance tools, and workspace management.

"Subscription"

Paid access to the Platform under one of the available subscription tiers (Essentials Solo Starter, Professional, or Enterprise).

"Third-Party Services"

Products, services, or content provided by third parties integrated with or accessible through the Platform, including Stripe (payments) and Wasabi (cloud storage).

"Usage Data"

Anonymized, aggregated data generated from use of the Platform, including technical logs and usage patterns, which does not personally identify any individual.

2.PLATFORM SCOPE AND RELATIONSHIP

2.1

VisaNauta is a SaaS technology marketplace providing digital infrastructure for RCIC practice management, client discovery, secure communications, document exchange, scheduling, compliance tools, and payment facilitation.

2.2

VisaNauta does NOT provide immigration advice, legal services, legal opinions, or representation of any kind. All consulting services are delivered solely and exclusively by you as a licensed RCIC. VisaNauta's provision of the Platform does not create a professional, fiduciary, or attorney-client relationship between VisaNauta and you or your clients.

2.3

You are an independent professional and independent contractor. No employment, agency, partnership, joint venture, or franchise relationship is created by this Agreement. You are solely responsible for all advice, opinions, and services provided to clients.

2.4

VisaNauta does not control, direct, or supervise the manner in which you deliver services to clients. We do not set your fees, dictate your working hours, or require exclusivity.

2.5

The Subscriber is responsible for the acts and omissions of all Authorized Users.

3.ELIGIBILITY, ACCOUNT, AND ACCESS

3.1 Registration

3.1.1

To subscribe, you must be at least 18 years old, hold a current and valid CICC license, and have the legal capacity to enter this Agreement.

3.1.2

You agree to provide true, accurate, current, and complete registration information and to keep it updated. Inaccurate information may result in suspension or termination.

3.2 Account Security

3.2.1

You are responsible for maintaining the confidentiality of your credentials and for all activities under your account. Do not share credentials with unauthorized persons.

3.2.2

Each Authorized User must have a unique login. Credentials may not be shared.

3.2.3

Multi-Factor Authentication (MFA) is mandatory for all RCIC accounts by default and may be disabled only through Account Settings.

3.2.4

Notify us immediately at support@visanauta.com if you suspect unauthorized access. VisaNauta is not liable for loss from unauthorized use except where caused by our fraud, negligence, or willful misconduct.

3.3 Administrator (Enterprise Plans)

3.3.1

The initial Administrator is the Primary Subscriber. Administrators may designate additional users within seat limits.

3.3.2

Administrators are responsible for managing user access, deactivating departed staff, and ensuring all Authorized Users comply with this Agreement.

4.CONSENT TO ELECTRONIC COMMUNICATIONS

4.1

By subscribing, you consent to receive electronic communications including: (a) account and billing notices; (b) security alerts; (c) document retention reminders; (d) service updates and maintenance notices; (e) CICC license verification notifications; and (f) promotional information.

4.2

You may opt out of promotional communications at any time. You may not opt out of transactional, security, compliance, or billing communications while your subscription is active.

4.3

VisaNauta is not liable for delays or failures in delivery caused by third-party providers.

5.CICC COMPLIANCE OBLIGATIONS

As a licensed RCIC, you acknowledge and agree to the following obligations:

5.2 Platform Compliance Tools (aids only — do not satisfy your independent obligations)

  • One-click document export (ZIP archive with SHA-256 integrity manifest)
  • Automated archival reminders at Days 7, 14, 21, and 28 of each retention window
  • Digital acknowledgement workflow: "I have archived all case documents to my own CICC-compliant storage"
  • Quarterly CICC license verification against the public register
CRITICAL — Document Retention: The Platform deletes case documents after 30 days (Essentials Solo Starter) or 180 days (Professional / Enterprise). This does NOT satisfy your 7-year obligation under CICC By-Law 17(1). You must export and archive all documents independently.

6.SUBSCRIPTION MODEL AND PRICING

Zero Commissions · Zero Referral Fees · Zero Transaction Fees

You retain 100% of all fees collected from your clients. VisaNauta's sole revenue is the fixed subscription fee. No hidden charges of any kind.

CONFIDENTIAL: Subscription pricing, feature details, and this schedule are Confidential Information and must not be disclosed to clients, competitors, or third parties without VisaNauta's prior written consent.

6.3 Pricing Changes

6.3.1

Any price increase will be communicated with 60 calendar days' written notice before your next billing cycle. If you do not agree, you may cancel before the new price takes effect with no early termination penalty.

6.4 Free Trials

6.4.1

Unless you cancel before the Free Trial expires, your subscription will commence automatically at the selected plan rate. Free Trials are limited to one per RCIC and may not be combined with other promotions.

7.PAYMENT TERMS

7.1 Subscription Billing

7.1.1

Fees are billed monthly or annually via Stripe. Subscriptions auto-renew at the then-current rate unless cancelled in advance.

7.1.2

Failed payments trigger a 7-day grace period. Persistent non-payment beyond 60 days may result in account deactivation and Content becoming irretrievable.

7.2 Taxes

You are responsible for all applicable taxes (HST/GST/PST). All fees quoted are exclusive of applicable taxes.

7.3 Client-to-RCIC Payments

7.3.1

All professional fees are set exclusively by you. VisaNauta takes zero deduction, commission, or percentage from client-to-RCIC payments. The full amount transfers to your Stripe account, less only standard Stripe processing fees.

7.3.2

Client payments are processed via Stripe Connect with you as merchant of record. VisaNauta does not hold, escrow, pool, or comingle client funds and will never access any trust account.

7.4 Subscription Changes

Upgrades take effect immediately with prorated charges. Downgrades take effect at the next billing cycle with no refunds for the current period.

7.5 Cancellation and Refunds

7.5.1

Cancel at any time via Account Settings. Cancellation takes effect at the end of the current billing period. No partial refunds for unused time.

7.5.2

All subscription fees are prepaid and non-refundable after the first 30 days of your initial subscription. You must export all case documents before cancellation.

7.6 Billing Disputes

Email billing@visanauta.com within 60 days of the disputed charge. We respond within 15 business days.

8.PROFESSIONAL AND PLATFORM OBLIGATIONS

  • Maintain a current, valid CICC license at all times. Notify VisaNauta within 48 hours of any license status change; access will be suspended immediately pending resolution.
  • You are solely responsible for the accuracy, completeness, and legality of all information on your public profile.
  • Respond to client inquiries and bookings within a reasonable time. Persistent non-responsiveness may result in profile visibility reduction or suspension.
  • You must not use the Platform to engage in unauthorized practice of law, provide legal opinions beyond RCIC scope, or hold yourself out as a lawyer or barrister.
  • Maintain professional liability (Errors & Omissions) insurance and provide proof of coverage upon reasonable request.
  • You are solely responsible for all Content uploaded by you or your Authorized Users, and for all material transmitted to clients through the Platform.
  • You must comply with all applicable laws and regulations in connection with your use of the Platform.

9.AI SERVICES AND TOOL DISCLAIMERS

9.1 AI Form Intelligence

9.1.1

AI Form Intelligence is provided as a productivity aid only. AI-GENERATED OUTPUT MAY BE INCOMPLETE, INACCURATE, OR INAPPROPRIATE FOR YOUR SPECIFIC USE CASE. VISANAUTA DOES NOT REVIEW OUTPUT FOR ACCURACY OR COMPLETENESS.

9.1.2

You are solely responsible for reviewing, verifying, and approving all AI-generated output before use, including ensuring compliance with IRCC requirements and CICC professional standards. You must use AI Form Intelligence only with human oversight.

9.1.3

You must not use AI Form Intelligence output or any Platform AI features to develop a competing product or train any AI or machine learning model.

9.2 Deadline Tracker™

IMPORTANT: You are solely responsible for: (a) the accuracy of all deadline entries; (b) maintaining and verifying all calendar and case deadlines, including statutory deadlines; and (c) ensuring timely action on all deadlines. The Deadline Tracker™ is a convenience tool only. VisaNauta is not liable for missed deadlines or any consequences arising from reliance on the Deadline Tracker™.

9.3 Financial Command Center

The financial tools are practice management aids only — not a full accounting service. You are solely responsible for your billing practices, trust accounting, and compliance with all applicable financial regulations.

10.PROHIBITED CONDUCT

In addition to CICC obligations, you agree not to:

  • Use the Platform while your CICC license is suspended, revoked, expired, or surrendered
  • Impersonate another RCIC, firm, or entity, or misrepresent any affiliation
  • Upload viruses, malware, or harmful code, or attempt to compromise Platform security
  • Scrape, data mine, crawl, or extract user data, client lists, or proprietary content by automated or manual means
  • Post false reviews, fabricated testimonials, or engage in review manipulation
  • Disclose Confidential Information (including pricing, features, or technical details) to clients, competitors, or third parties
  • Use the Platform for discriminatory practices violating the Canadian Human Rights Act or Ontario Human Rights Code
  • Engage in harassment, threats, or abusive conduct toward clients or Platform personnel
  • Reverse engineer, decompile, disassemble, or attempt to extract source code from the Platform
  • Use AI Form Intelligence output to develop competing products or train AI models

11.CONTENT AND INTELLECTUAL PROPERTY

11.1 Platform IP

All intellectual property in the Platform — including software, design, algorithms, tools (Deadline Tracker™, CICC Audit Trail™, AI Form Intelligence, Smart Tracker™, Financial Command Center), logos, and trademarks — is the exclusive property of VisaNauta Technologies. All rights not expressly granted are reserved.

11.2 Your Content

11.2.1

You retain ownership of all Content. VisaNauta does not claim any intellectual property rights in your Content.

11.2.2

By uploading Content, you grant VisaNauta a limited, non-exclusive, revocable license to store, process, and display Content solely for providing the Platform Services. This license terminates when Content is deleted.

11.2.3

You represent and warrant that you have all necessary rights, consents, and permissions to upload Content and to permit VisaNauta to process it without violating any laws, third-party rights, or CICC obligations.

11.3 Feedback

If you provide Feedback, you irrevocably assign to VisaNauta all right, title, and interest therein. VisaNauta may freely use, modify, and incorporate Feedback without compensation or attribution.

11.4 Usage Data

VisaNauta may collect and use Usage Data for Platform improvement and analytics. Aggregate, anonymized reports may be published provided they do not identify you or your clients.

12.LIMITATION OF LIABILITY

12.1 Exclusions

To the maximum extent permitted by law, VisaNauta is not liable for:

  • The outcome of any immigration application or proceeding
  • Your professional conduct, advice, opinions, or services
  • Disputes between you and your clients
  • CICC regulatory penalties, fines, or disciplinary actions
  • Loss of documents due to your failure to export before automated deletion
  • Errors, inaccuracies, or omissions in AI Form Intelligence output
  • Missed deadlines or incorrect deadline information from the Deadline Tracker™
  • Financial losses arising from reliance on the Financial Command Center
  • Actions or omissions of Third-Party Services (including Stripe and Wasabi)

12.2 Liability Cap

VisaNauta's total aggregate liability shall not exceed the total subscription fees actually paid by you during the three (3) months immediately preceding the event giving rise to the claim.

12.3 Exclusion of Consequential Damages

In no event shall VisaNauta be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of data, loss of goodwill, or business interruption, regardless of theory of liability.
12.4

Nothing in these Terms excludes liability that cannot be excluded under Ontario or Canadian law, including for fraud, gross negligence, or willful misconduct.

13.INDEMNIFICATION

You agree to indemnify, defend, and hold harmless VisaNauta Technologies, its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from: (a) your provision of immigration consulting services; (b) breach of CICC rules or Code of Professional Conduct; (c) breach of these Terms; (d) your negligent or wrongful acts or omissions; (e) your disclosure of Confidential Information; (f) your use or misuse of AI Form Intelligence or any Platform tool; (g) your billing practices and client relationships; or (h) disputes between you and any client or third party.

14.CONFIDENTIALITY

14.1

Platform pricing, subscription tiers, feature specifications, technical architecture, roadmap information, business terms, and any non-public information shared with you constitute Confidential Information of VisaNauta Technologies.

14.2

You shall not disclose Confidential Information to clients, competitors, other RCICs not subscribed to the Platform, or any third party without VisaNauta's prior written consent.

14.3

This confidentiality obligation survives termination of your subscription and continues indefinitely.

14.4

Exceptions: information that is (a) publicly available through no fault of yours; (b) independently developed without reference to Confidential Information; (c) received from a third party without restriction; or (d) required to be disclosed by law, with prompt written notice to VisaNauta.

15.THIRD-PARTY SERVICES

15.1

The Platform integrates with Third-Party Services including Stripe (payments) and Wasabi (cloud storage). These are subject to their own terms and conditions.

15.2

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VISANAUTA DISCLAIMS ALL LIABILITY FOR ANY LOSS OR HARM ARISING FROM THIRD-PARTY SERVICES, INCLUDING ERRORS IN PAYMENT PROCESSING OR DATA STORAGE.

15.3

VisaNauta may replace, disable, or modify Third-Party Service integrations at any time with reasonable notice where practicable.

16.DISPUTE RESOLUTION

16.1 Client Complaints About You

Client complaints about your professional services must be directed to the CICC. VisaNauta will cooperate with CICC investigations upon lawful request but is not a party to professional conduct proceedings.

16.2 Disputes with VisaNauta

Step 1Contact support@visanauta.com. Acknowledgement within 3 business days; resolution target 30 calendar days.
Step 2If unresolved, either party may refer to mediation in Brampton, Ontario (costs shared equally).
Step 3If mediation fails, courts of the Province of Ontario have exclusive jurisdiction.

17.SECURITY AND LEGAL COMPLIANCE

17.1 Security Measures

VisaNauta employs industry-standard security safeguards including AES-256 encryption at rest, TLS 1.3+ in transit, role-based access controls, MFA, VPC isolation, and immutable audit logging. Full details are in our Privacy Policy (COMP-04).

17.2

In the event of a confirmed security breach affecting your Content or personal information, VisaNauta will notify you within 72 hours.

17.3

VisaNauta may disclose Content where required by law, regulation, court order, or lawful government request. Legal requests must be directed to legal@visanauta.com through formal legal process.

18.PLATFORM AVAILABILITY AND WARRANTY DISCLAIMER

18.1

VisaNauta targets high availability but does not guarantee uninterrupted or error-free service. Planned maintenance will be communicated with reasonable advance notice where possible.

The Platform is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express, implied, or statutory. VisaNauta disclaims all warranties including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

19.PRIVACY AND DATA PROTECTION

19.1

Data practices are governed by our Privacy Policy (COMP-04), incorporated by reference. Contact privacy@visanauta.com for inquiries.

19.2

You are independently responsible for PIPEDA compliance in your handling of client data obtained through the Platform, including providing all necessary notices to, and obtaining all necessary consents from, your clients.

20.TERMINATION

20.1 Immediate Termination by VisaNauta

We may terminate immediately and without notice if:

  • Your CICC license is suspended, revoked, expired, or surrendered
  • Fraud, attempted fraud, or security breach is detected
  • Illegal activity or violation of Canadian law is identified
  • A CICC disciplinary decision confirms a Code of Conduct violation
  • You disclose Confidential Information to unauthorized parties

20.2 Termination with Notice

For non-critical violations, 30 calendar days' written notice with a reasonable cure period.

20.3 Voluntary Termination

You may terminate at any time via Account Settings or by emailing support@visanauta.com.

21.AMENDMENTS

21.1

VisaNauta may amend these Terms with 30 days' advance notice for material changes and 60 days' notice for pricing changes, via email, in-Platform notification, or both.

21.2

Continued use after the effective date constitutes acceptance. If you disagree, cancel before the effective date with no early termination penalty.

21.3

Non-material changes (corrections, clarifications) may be made without advance notice.

22.GENERAL PROVISIONS

22.1 Governing Law: Laws of the Province of Ontario and applicable federal laws of Canada, without regard to conflict of law principles.
22.2 Jurisdiction: Courts of the Province of Ontario have exclusive jurisdiction. You consent to the exercise of personal jurisdiction by such courts.
22.3 Severability: If any provision is held invalid, it shall be modified to the minimum extent necessary to be enforceable. Remaining provisions continue in full force.
22.4 Entire Agreement: These Terms, the Privacy Policy (COMP-04), and your subscription confirmation constitute the complete agreement, superseding all prior agreements and understandings.
22.5 Waiver: Failure to enforce any provision does not waive the right to enforce it later. No waiver is effective unless in writing.
22.6 Assignment: VisaNauta may assign in connection with a merger, acquisition, or sale of assets, provided the assignee agrees to be bound by these Terms. You may not assign without prior written consent.
22.7 Force Majeure: Neither party is liable for delays due to events beyond reasonable control, including natural disasters, pandemics, government actions, internet failures, or cyberattacks.
22.8 Language: English governs. Translations are for convenience only.
22.9 Injunctive Relief: You agree that a breach of these Terms may cause irreparable harm. VisaNauta is entitled to seek equitable relief without posting a bond.
22.10 Independent Parties: Nothing creates an employment, agency, partnership, joint venture, or franchise relationship.
22.11 Survival: Sections 1, 9–15, 18, 19, and 22 survive termination.

ACKNOWLEDGEMENT AND ACCEPTANCE

By subscribing, I acknowledge and confirm all of the following:

  • I hold a current, valid CICC license and will maintain it throughout my subscription.
  • I have read, understood, and agree to these RCIC Terms of Service (COMP-05B v2.0) and the Privacy Policy (COMP-04).
  • I understand VisaNauta charges a flat subscription fee only — no commissions, referral fees, or percentage-based charges.
  • I retain 100% of all fees collected from my clients.
  • I am solely responsible for CICC compliance, including 7-year document retention in my own CICC-compliant storage.
  • I will not disclose confidential Platform pricing, features, or technical details to clients or third parties.
  • I understand document deletion schedules and will export all documents before expiry.
  • I am solely responsible for reviewing and verifying all AI-generated output before use.
  • I am solely responsible for all deadlines, including statutory deadlines, regardless of Deadline Tracker™ functionality.
  • I consent to receiving electronic communications from VisaNauta as described in Section 4.
  • I authorize automatic renewal of my subscription at the then-current rate unless cancelled in advance.
